Online Today OLT-384 LOTUS, NOVELL TO MERGE (April 6) Lotus Development Corp. and Novell Inc. have signed an agreement in principle to merge. Under the agreement, Lotus will issue 1.19131 shares of Lotus common stock for each share of Novell common stock. The exchange ratio values each company at its current market valuation, based on the average closing price of each company over the last 10 trading days. As a result, Lotus will issue approximately 41.6 million new shares, based on currently outstanding shares, and assuming conversion of Novell's outstanding convertible subordinated debentures. After the merger, the two companies will combine their boards of directors. Jim Manzi will continue to serve as Lotus' chairman, president and chief executive officer. Ray Noorda, Novell's chief executive officer, will become vice chairman of Lotus. Novell will be operated as a wholly-owned Lotus subsidiary. Lotus and Novell expect to finalize the deal in July.
